ChunkIt! End User License Agreement
This license is the legal agreement (“Agreement”) between you, the customer (“you”) who is downloading, installing, or using the Licensed Program (as defined below) and TigerLogic corporation ("TigerLogic").
Please read the terms of the Agreement carefully. By downloading, installing, or using the Licensed Program, (1) You agree to be bound by the Agreement, and (2) You represent that You have the authority to enter into the Agreement, personally or on behalf of the company You have named as the customer. If You do not agree to all terms and conditions of the Agreement, or if You do not have such authority, You may not download, install, or use the Licensed Program.
The Licensed Program may contain third party software which requires notices and/or additional terms and conditions. Such required third party software notices and/or additional terms and conditions are located in Exhibit B and are made part of and incorporated by reference into the Agreement. By accepting the Agreement, You are also accepting the additional terms and conditions, if any, set forth therein.

1.1 Grant. Subject to the terms of the Agreement, TigerLogic grants You a nonexclusive, nontransferable license to reproduce the Licensed Program as necessary to install, display, and execute it solely for Your internal use. All rights not specifically granted to You herein are retained by TigerLogic. “Licensed Program” means an object code version of the proprietary ChunkIt! computer software program.
1.2 Restrictions on Use. Except as otherwise specifically permitted under the Agreement, You shall not use, copy, modify, create derivative works of, distribute, sell, assign, pledge, sublicense, lease, loan, rent, timeshare, deliver or otherwise transfer the Licensed Program, nor permit any third party to do any of the foregoing. You may not (i) derive or attempt to derive the source code of all or any portion of the Licensed Program by any means, (ii) permit any third party to derive or attempt to derive such source code, or (iii) reverse engineer, decompile, disassemble, or translate the Licensed Program or any part thereof. You will not use the Licensed Program to infringe any third party RIGHTS (INCLUDING intellectual property rights), to breach any obligations You may have, or to violate any applicable laws or regulations.
1.3 Auto-Updates. You acknowledge and agree that the Licensed Program (a) will establish an online connection to the Internet, the costs of which shall be Your sole responsibility, and (b) will update and/or upgrade itself after confirmation by You and that You shall not interfere with or disable such update/upgrade functionality and that the Agreement will apply to each such updated and/or upgraded version of the Licensed Program.
2. Consideration. You acknowledge and agree that the Licensed Program is being licensed to You without charge and in exchange for the right of TigerLogic to display targeted advertisements to You through the Licensed Program; You agree that You shall not cover, obscure, or suppress such advertisements and that TigerLogic may collect any search term entry made by You to the Licensed Program for the selection of the advertisements that may be displayed, and any other information as described in the ChunkIt! privacy statement as set forth in Section 8.1.
3. No Obligation. TigerLogic has no obligation under the Agreement or otherwise to correct any bugs, defects or errors in the Licensed Program or otherwise to enhance support or maintain the Licensed Program.
4.1 Software. You agree that TigerLogic will own and hold all right, title and interest, including but not limited to copyright, patent, trade secret, and all other intellectual and industrial property rights, in and to the Licensed Program and Documentation, and any changes, modifications or corrections thereto. “Documentation” means the documentation provided by TigerLogic to You in connection with the Licensed Program.
4.2 Feedback. You agree that any errors, problems, defects, or suggestions for changes and improvements to the Licensed Program You may report to TigerLogic (“Feedback”) will be the sole property of TigerLogic and will be kept confidential by You and not provided to any third party. TigerLogic may incorporate Feedback into its products and services and You will gain no right, title or interest in or to the Feedback, Licensed Program, and Documentation by virtue of Your provision of Feedback to TigerLogic. If You ever hold any right, title or interest (including, without limitation, any intellectual property rights or trade secret rights) in or to Feedback, whether by virtue of Your delivery of Feedback to TigerLogic or otherwise, then You hereby irrevocably assigns to TigerLogic all such right, title and interest and agrees to execute all documents necessary to implement and confirm the letter and intent of this Section. You will cooperate with TigerLogic and will take all actions, including the execution, verification and delivery of documents, as TigerLogic may reasonably request to evidence, perfect or protect TigerLogic’s rights in and to the Licensed Program and Documentation.
5.1 Term. The Agreement shall be effective from and after the download, installation, or first use of the Licensed Program (the “Effective Date”) unless terminated by either party.
5.2 Termination. TigerLogic may terminate the Agreement for convenience upon ten (10) days notice of such termination by providing general notification of such termination on the ChunkIt! website at www.tigerlogic.com/ChunkIt or by disabling the Licensed Program via an auto-update.
5.3 Effect of Expiration/Termination. Upon expiration or earlier termination of the Agreement for any reason (i) all licensed granted to You hereunder shall immediately terminate, and (ii) You agree to delete all copies of the Licensed Program from all Your computer systems.
5.4 Survival. The following provisions will survive the expiration or earlier termination of the Agreement: Sections 1.2, 3, 4, 5.3, 5.4, 6, 7, and 8, and any other provision required for their construction or enforcement that by its terms would survive termination or expiration of the Agreement.
6. No Warranty. The Licensed Program, Documentation, and any and all other material provided by TigerLogic to You under the Agreement are provided to You “AS IS” without warranty of any kind. TigerLogic hereby disclaims any and all warranties, express, implied, or statutory with respect to the Licensed Program, including but not limited to any implied warranties of merchantability, non-infringement, Title or fitness for a particular use or purpose. TigerLogic does not warrant that the Licensed Program will function without interruption or that it is error-free, or that the results from the use of the Licensed Program are correct and complete. You bear the entire risk as to the operation of the Licensed Program. Some jurisdictions do not permit waivers of certain warranties so the above waiver may not apply to You.
7. Limitation Of Liability. In no event will TigerLogic be liable for any consequential, special, exemplary, incidental and indirect damages, or for loss of Revenue or profits or data or for the cost of substitute goods, whether in contract or tort (including negligence), arising out of or in connection with the Agreement, or Your use of, or the results obtained from, the Licensed Program, Documentation, or any other material provided by TigerLogic to You under the Agreement. TigerLogic’s aggregate cumulative liability hereunder shall not exceed Fifty U.S. Dollars (U.S.$50.00). Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for certain incidental or consequential damages, so the exclusions set forth above may not apply to You.
You acknowledge and agree that the disclaimer of warranties, limitations on liability and limited remedies contained in the Agreement are fundamental parts of the basis of TigerLogic’s bargain hereunder, and TigerLogic would not be able to provide the Licensed Program to You absent such limitations.
8.1 Privacy. Please review the ChunkIt! privacy statement, which is available in Exhibit A and hereby incorporated into the Agreement, for a description of the information that is collected by TigerLogic through the Licensed Program.
8.2 Governing Law. The Agreement will be governed by and construed in accordance with the laws of the State of California without giving effect to any choice of laws principles that would require the application of the laws of a different country or state. The parties expressly exclude the application of the United Nations Convention on the International Sale of Goods. The parties hereby consent to the personal jurisdiction and venue of the federal and state courts sitting in Orange County, California.
8.3 Injunctive Relief. You acknowledge that Your breach of Section 1 will cause irreparable harm to TigerLogic for which monetary relief would be insufficient, and You hereby agree that TigerLogic will be entitled to injunctive relief as well as such further relief as may be granted by a court of competent jurisdiction in the event of breach or threatened breach of Section 1.
8.4 Indemnity. Your agree to defend, indemnify, and hold TigerLogic, and its subsidiaries and affiliates, and their officers, employees and agents, harmless from any loss, liability, claim, or demand, including reasonable attorney’s fees, made by any third party arising from or related to (a) Your use of the Licensed Program, or (b) Your breach of any provision of the Agreement.
8.5 Attorneys’ Fees. In the event any proceedings or lawsuit is brought by TigerLogic or You in connection with the Agreement, the prevailing party in such proceeding will be entitled to receive its costs, expert witness fees and reasonable attorneys’ fees, including costs and fees on appeal.
8.6 Relationship between the Parties. The parties hereto are independent contractors. Nothing in the Agreement will be deemed to create an agency, employment, partnership, fiduciary or joint venture relationship between the parties. Neither party (nor any agent or employee of that party) is the representative of the other party for any purpose and neither party has the power or authority as agent, employee or in any other capacity to represent, act for, bind or otherwise create or assume any obligation on behalf of the other party for any purpose whatsoever.
8.7 No Assignment. Neither the Agreement nor any rights or obligations under the Agreement may be assigned or delegated by You, by operation of law or otherwise, without the prior written consent of TigerLogic, which consent may be granted or withheld in TigerLogic’s discretion. Any attempted or purported assignment or delegation by You in violation of the previous sentence will be null and void and without effect. The Agreement shall otherwise be assignable.
8.8 Compliance with Export Laws. You will not export, directly or indirectly, any technical data of TigerLogic acquired pursuant to the Agreement or any product utilizing any such data to any country for which the U.S. Government or any agency thereof at the time of export requires an export license or other governmental approval without first obtaining such license or approval.
8.9 Notice. All notices, requests and other communications under the Agreement by You to TigerLogic must be in writing, and must be mailed by registered or certified mail, postage prepaid and return receipt requested, or delivered by hand to the party to whom such notice is required or permitted to be given.
8.10 Severability. If any provision of the Agreement will be held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of the Agreement will remain in full force and effect, and the provision or portion thereof affected will be construed so as to be enforceable to the maximum extent permissible by law.
8.11 Amendment; Waiver. The Agreement may be amended by TigerLogic from time to time and you will find the current version of the Agreement, to which you agree by continue to use the Licensed Program, on the ChunkIt! website at www.tigerlogic.com/ChunkIt/eula.html . All waivers must be in writing. Any waiver of either party to enforce a provision of the Agreement on one occasion will not be deemed a waiver of any other provision or such provision on any other occasion.
8.12 Entire Agreement. The Agreement is the final, complete and exclusive agreement of the parties with respect to the subject matter hereof and supersedes and merges all prior discussions between them. No modification of or amendment to the Agreement will be effective unless in writing and signed by the party to be charged.
The following privacy statement (“Privacy Statement”) describes what information TigerLogic Corporation (“TigerLogic”, “we”, or “us”) collects from users of the ChunkIt! tool (the “Licensed Program”). TigerLogic takes the privacy and protection of the information that is collected very seriously and wants you to understand what we collect and how we use that information. This Privacy Statement is incorporated into the TigerLogic End User License Agreement that you can find at www.tigerlogic.com/ChunkIt/eula.html .
BY USING THE LICENSED PROGRAM, YOU EXPRESSLY CONSENT TO THE COLLECTION AND USAGE OF THE INFORMATION AS DESCRIBED IN THIS PRIVACY STATEMENT. IF YOU RESIDE OUTSIDE THE UNITED STATES, YOU UNDERSTAND THAT INFORMATION ABOUT YOU MAY BE PROCESSED IN COUNTRIES (INCLUDING THE UNITED STATES) WHERE LAWS REGARDING PROCESSING OF SUCH INFORMATION MAY BE LESS STRINGENT THAN THE LAWS IN YOUR COUNTRY.

TigerLogic collects the keywords or search terms that you enter when you use the Licensed Program. We use this information to provide you with advertisements relevant to your searches.
Technical information regarding ChunkIt!
The Licensed Program collects and sends to TigerLogic technical information about (a) the Licensed Program and how it performs on the computer on which it is installed (including without limitation, error logs or related information that is created by the Licensed Program, automatically generated unique IDs for each installation of the Licensed Program and for each user of the Licensed Program, certain internal Licensed Program events, the number of query sessions for which the Licensed Program is used, and the version number of the toolbar that is part of the Licensed Program), and (b) the computer on which it is installed (including without limitation, the total available memory of the computer and the amount of that memory that is available during the execution of the Licensed Program, the CPU type, Operating System, the browser that is used, the version of .Net that is installed, the screen resolution that is used, and information about the Java Virtual Machine that is installed on such computer). This information helps TigerLogic to understand technical issues that may occur and to improve and expand future versions of the Licensed Program.
Information about the use of ChunkIt!
The Licensed Program collects and sends to TigerLogic information about how the Licensed Program is used. This information includes without limitation, the search engine that is used, what search options are selected, the number of the results page on which a selected Chunk is listed, the URLs viewed and clicked on, and the time it took to complete the chunking of a webpage. This information is used by TigerLogic to better understand how the Licensed Program is used and to improve and expand future versions of the Licensed Program.
Disclosures
The information collected by TigerLogic is not personally identifiable to you and is retained by TigerLogic as anonymous information, meaning, that it is not associated with or linked to any personally identifiable information and does not permit the identification of individual persons. We reserve the right to share certain pieces of aggregated, non-personal information, such as the number of users who searched for a particular term or the number of users who clicked on a particular advertisement, with selected third parties at our discretion (including without limitation: service providers, affiliated companies, any company that purchases our company or assets, marketing partners, government agencies, and other third parties).
Information Security
We take appropriate security measures to protect against unauthorized access to or unauthorized alteration, disclosure or destruction of information that we collect. These security measures include internal reviews of our collection, storage and processing practices and security measures, as well as physical security measures to guard against unauthorized access to systems where we store information that we have collected.
Websites
The websites that you may search using the Licensed Program have their privacy policies; this Privacy Statement does not apply to any data collected by the operators of those websites.
Updates
This Privacy Statement is subject to occasional amendment, in accordance with the terms of the End User License Agreement.
